Dormant Company status is granted to companies inactive for two consecutive years with no significant accounting transactions (below ₹1,000 threshold) under Section 455 of the Companies Act, 2013. This status allows companies to retain their legal existence while minimizing compliance burdens and costs. Dormant companies are exempt from holding board meetings, filing certain returns, and maintaining extensive statutory compliances required for active companies.

Application for dormant status (MSC-1) requires board resolution, special resolution (or consent of 3/4th members), submission of declaration, and ROC approval. The company must have no outstanding loans, statutory dues, or disputes. Once granted, dormant companies file a simplified annual return (MSC-3) indicating continued dormant status. The status can be maintained for five consecutive years; beyond this, the company may be struck off.

To reactivate, companies file MSC-4 (application for active status) upon resuming business activities. Dormant status is ideal for companies holding intellectual property or assets for future projects without current operations. It prevents the company from being classified as defunct and avoids involuntary strike-off proceedings while preserving corporate history and legal rights.

Companies that have not been carrying on any business or have not made any significant accounting transactions for two consecutive financial years can apply for dormant status. Companies formed for future projects or intellectual property holding can also apply for inactive status at incorporation.

Benefits include reduced compliance requirements (fewer board meetings, simplified financial statements), lower maintenance costs, protection of company name and legal existence, ability to hold assets and intellectual property, and easier revival when business resumes.

The procedure involves passing a board resolution and special resolution, filing Form MSC-1 with the Registrar within 30 days of the resolution, ensuring no outstanding statutory dues, and obtaining approval from the Registrar. The company is then marked as 'Inactive' or 'Dormant'.

Dormant companies must file an annual return (Form MSC-3) indicating their dormant status, maintain minimum statutory records, hold at least one board meeting in each half-year, and file financial statements (simplified format). They are exempt from many regular compliance requirements.

A dormant company can be revived by filing Form MSC-4 for active status, demonstrating intent to commence business, clearing any pending compliance, and obtaining approval from the Registrar. Upon approval, the company resumes normal compliance requirements.

A dormant company is intentionally inactive but maintains legal status with reduced compliance. A defunct company is one that has failed to commence business or is not carrying on business and can be struck off by the Registrar under Section 248. Dormant status is a formal recognition of inactivity.

A dormant company can only make payments to fulfill legal requirements, maintain statutory registers, file returns, and pay fees to professionals. It cannot carry on active business or enter into significant accounting transactions without losing dormant status.

A company can remain dormant for a maximum of 5 consecutive years. After 5 years, the Registrar may initiate action to strike off the company if it does not apply for active status or if there is no response to inquiries.

Non-filing by dormant companies may result in penalties, removal of dormant status, potential disqualification of directors, and initiation of strike-off proceedings. Even dormant companies must maintain minimal compliance to retain their status.
